lindenpartners advised Axent Capital Partners AG on the acquisition of the Eissmann Group, a full-service provider of premium interior solutions for luxury automobiles headquartered in Bad Urach. The acquisition has resolved the insolvency of the company’s domestic operating units.

The transaction specifically involved the acquisition of the assets of Eissmann Automotive Deutschland GmbH and its respective German business operations, as well as the shareholdings in foreign subsidiaries with production facilities in the Czech Republic, Slovakia, Hungary, Mexico, and the USA, which were not affected by the insolvency of the German Eissmann entities. Under the leadership of Axent Capital Partners, approximately 3,200 jobs out of a former total of over 5,000 will initially be preserved.

According to Axent Capital Partners AG, the group is initially targeting annual revenues of €320 million, which are expected to grow to between €400 and €450 million within three years. The Eissmann Group will continue to receive support from luxury automobile manufacturers.

Axent Capital Partners AG was advised on this transaction by a team from the law firm lindenpartners. For lindenpartners, the transaction represents a further expansion of its M&A practice in the restructuring sector.

Insolvency administrator Dr. Holger Leichtle (Görg) was advised on the sale by a team from the law firm Norton Rose Fulbright, led by Dr. Sylwia Bea-Pulverich (Restructuring/Insolvency, Frankfurt).
